End User License Agreement (EULA)

Welcome to Avalon SmartCare Enterprise, a software platform developed and owned by Avalon Audio/Video and Smart Home LLC, doing business as Avalon Smart Homes ("Avalon," "we," "our," or "us").
Please read this End User License Agreement ("Agreement") carefully before installing, accessing, or using Avalon SmartCare Enterprise.
By downloading, installing, accessing, or using this software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the software.
1. License Grant
Avalon grants you a limited, non-exclusive, non-transferable, revocable license to use Avalon SmartCare Enterprise solely for your own internal business or personal use in accordance with this Agreement.
This license grants only the right to use the software. Ownership is not transferred.
2. Ownership
Avalon SmartCare Enterprise, including all software, source code, databases, graphics, documentation, workflows, reports, trademarks, logos, and intellectual property, remains the exclusive property of Avalon Audio/Video and Smart Home LLC.
All rights not expressly granted are reserved.
3. Permitted Use
You may:

Access your authorized account.

Manage customer information.

View service history.
-
Generate reports.
-
Utilize approved software integrations.
-
Access subscription features included with your membership.
4. Prohibited Uses
You agree not to:

Copy or redistribute the software.

Reverse engineer, decompile, or disassemble any portion of the software except where prohibited by law.

Modify, alter, or create derivative works.

Remove copyright or proprietary notices.
-
Attempt unauthorized access to Avalon systems.
-
Introduce malicious software or interfere with system operation.
-
Share account credentials with unauthorized individuals.
5. Third-Party Integrations
Avalon SmartCare Enterprise may integrate with third-party platforms, including but not limited to:

Microsoft 365
-
Microsoft Graph
-
QuickBooks Online
-
Wix
-
Stripe
-
Splashtop
-
eero
-
Sonos
-
Google Workspace
-
Other supported software platforms
Use of third-party services is subject to their respective terms, policies, and availability.
Avalon is not responsible for outages, policy changes, or service interruptions caused by third-party providers.
6. Customer Data
You retain ownership of your business data and customer information.
By using Avalon SmartCare Enterprise, you authorize Avalon to process, store, and manage information necessary to:

Provide software functionality

Synchronize approved third-party services
-
Perform customer support
-
Improve platform performance
-
Maintain security
-
Comply with applicable laws
Avalon does not sell customer information.
7. Security
Avalon employs commercially reasonable administrative, technical, and physical safeguards to help protect customer information.
Customers are responsible for:

Maintaining secure passwords

Protecting login credentials
-
Using current antivirus software
-
Promptly reporting suspected unauthorized access
8. Updates
Avalon may periodically release:

Software updates
-
Security patches
-
Feature enhancements
-
Performance improvements
Updates may occur automatically or require installation.
Continued use of the software following an update constitutes acceptance of the revised software.
9. Subscription Services
Certain features require an active Avalon SmartCare membership or software subscription.
If a subscription expires or is canceled, access to premium features may be suspended.
10. Availability
Although Avalon strives to provide reliable service, uninterrupted operation cannot be guaranteed.
Service interruptions may occur due to:

Scheduled maintenance

Internet outages
-
Cloud provider issues
-
Third-party API changes
-
Security updates
-
Force majeure events
11. Disclaimer of Warranties
Avalon SmartCare Enterprise is provided "AS IS" and "AS AVAILABLE."
To the fullest extent permitted by law, Avalon disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Warranty disclaimers of this type are standard in software EULAs and help define the scope of the software provider's obligations.
12. Limitation of Liability
To the maximum extent permitted by law, Avalon shall not be liable for:

Lost profits

Lost business opportunities

Lost revenue
-
Loss of data
-
Business interruption
-
Consequential damages
-
Indirect damages
-
Incidental damages

Special damages
Avalon's total liability under this Agreement shall not exceed the amount paid by the Customer for Avalon SmartCare services during the twelve (12) months preceding the claim.
13. Termination
Avalon may suspend or terminate access immediately if:

This Agreement is violated.

Fraudulent activity is detected.
-
Unauthorized access occurs.
-
Required subscription payments are not received.
-
Continued access presents a security risk.
Upon termination, all rights granted under this Agreement immediately cease.
14. Governing Law
This Agreement shall be governed by the laws of the State of California.
Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Riverside County, California.
15. Changes to this Agreement
Avalon reserves the right to update this Agreement at any time.
The most current version will always be published on this website.
Continued use of Avalon SmartCare Enterprise after changes become effective constitutes acceptance of the revised Agreement.
